GENERAL TERMS AND CONDITIONS OF SALE (GTCS)

Article 1 – Purpose and Scope

These General Terms and Conditions of Sale (hereinafter the “GTCS”) govern all sales of products and services concluded between ALTAXIS and any natural person or legal entity (hereinafter the “Customer”) via the websites operated by ALTAXIS (hereinafter the “Website”).

The GTCS apply to the exclusion of any other terms or conditions, unless expressly agreed in writing by ALTAXIS.

Placing an order on the Website implies full, unconditional, and irrevocable acceptance of the GTCS in force on the date of the order.

Article 2 – Definitions

For the purposes of these GTCS:

• “Customer” means any natural person aged at least 16 years, or any legal entity, placing an order on the Website.

• “Services” means any coaching, workshops, seminars, training sessions, or other intangible services offered by ALTAXIS.

• “Products” means any physical or digital goods offered for sale on the Website.

Article 3 – Eligibility and Age Restrictions

The purchase of Products is restricted to individuals aged 16 years or older.

The purchase of Services is restricted to individuals aged 18 years or older.

ALTAXIS reserves the right to request proof of age at any time. In the event that a Customer does not meet the applicable age requirement, ALTAXIS reserves the right to cancel the order, terminate access to the Services, and issue a refund where applicable. Where Products have already been delivered, ALTAXIS may require their return prior to issuing a refund.

Article 4 – Orders

Orders are placed exclusively via the Website, using the ordering process provided therein.

All orders are subject to acceptance by ALTAXIS. ALTAXIS reserves the right to refuse or cancel any order in the event of:

• Non-compliance with these GTCS;

• A dispute with the Customer;

• Suspicion of fraud;

• Non-payment or partial payment;

• Any other legitimate reason.

An order shall only be deemed final upon confirmation by ALTAXIS and full receipt of payment.

Article 5 – Prices

All prices are stated in euros (€), inclusive of all applicable taxes, including value added tax (VAT) at the applicable rate on the date of the order, and exclusive of delivery and processing costs.

ALTAXIS reserves the right to modify its prices at any time. However, Products and Services shall be invoiced at the price in effect at the time the order is confirmed.

Delivery costs are specified prior to final validation of the order and are invoiced in addition to the price of the Products.

Article 6 – Payment Terms

Payment is due in full on the date the order is placed, including for pre-orders.

Payment may be made by credit or debit card. Accepted cards include Mastercard and Visa international bank cards. American Express is not accepted.

Secure online payments are processed by Stripe or PayPal. Payment data is encrypted using industry-standard security protocols. ALTAXIS does not store full payment details.

ALTAXIS shall not be held liable for any malfunction, interruption, or security breach attributable to the payment service provider.

ALTAXIS reserves the right to suspend or cancel any order in the event of non-payment or payment incident.

Article 7 – Delivery and Monthly One-on-One Coaching Sessions

7.1 Delivery

Products are delivered to the address provided by the Customer at the time of ordering. The Customer is solely responsible for the accuracy and completeness of the delivery information.

Delivery times are provided for information purposes only and are not contractually binding, unless expressly agreed otherwise.

Risk of loss or damage to the Products passes to the Customer upon dispatch from ALTAXIS' premises.

In the event of loss or damage during transport, the Customer shall notify ALTAXIS without undue delay. ALTAXIS shall, where appropriate, provide a replacement Product or issue a refund in accordance with applicable legal guarantees.

Digital Products and Services are deemed delivered upon provision of access to the Customer.

7.2 Monthly One-on-One Coaching Sessions

Where a Service includes one-on-one video coaching sessions provided on a monthly basis over a defined period (hereinafter the "Monthly Sessions"), the following terms apply.

Each Monthly Session must be booked and completed within the calendar month to which it relates. The Customer is solely responsible for scheduling the Monthly Session within the applicable month, using the booking system made available on the Rock Guitar Mastery courses platform.

Monthly Sessions are strictly non-cumulative and non-transferable. Where a Customer fails to book a Monthly Session within the applicable month, or fails to attend a Monthly Session that has been booked, the corresponding session shall be forfeited without compensation, refund, or credit, and may not be carried over, rescheduled beyond the applicable month, or added to any subsequent month.

For the avoidance of doubt, each calendar month gives entitlement to one (1) Monthly Session only. Unused entitlements do not accrue and expire automatically at the end of the calendar month to which they relate.

Article 8 – Right of Withdrawal and 14-Day Money-Back Guarantee

8.1 Statutory Right of Withdrawal

Under applicable law, consumers generally have a statutory fourteen (14) day right of withdrawal, subject to the exceptions set out below.

In particular, the statutory right of withdrawal does not apply to:

• The supply of digital content not supplied on a tangible medium, where performance has begun following the Customer’s prior express consent and express acknowledgment that the right of withdrawal is thereby lost;

• The supply of audio or video recordings or computer software where the seal has been broken by the Customer.

Accordingly, once the order has been confirmed and the download or streaming access to the digital content has commenced, the Customer shall no longer be entitled to exercise the statutory right of withdrawal, provided that the conditions required by applicable law have been met.

By ticking the acceptance box for these GTCS when placing an order, the Customer expressly acknowledges and agrees to this condition.

8.2 14-Day Money-Back Guarantee

Although the statutory right of withdrawal may not apply, ALTAXIS offers, on certain Services, a commercial “14-Day Money-Back Guarantee”.

This guarantee allows the Customer to request a refund within fourteen (14) days from the date of the order if the Customer is not satisfied with the Service or content received.

The guarantee does not apply in the following circumstances:

• Advanced consumption of the content: If the Customer has accessed or viewed more than twenty percent (20%) of the available content, the Customer shall no longer be eligible for the guarantee.

• Installment payments: Where the Customer has chosen to pay in installments, only the first installment shall be eligible for a refund.

• Excluded Products: Books, whether in physical or PDF format, are not covered by this guarantee.

• Abusive use of the guarantee: ALTAXIS reserves the right to refuse refund requests that it reasonably considers abusive, including, in particular, situations where multiple successive purchases are followed by repeated refund requests.

This commercial guarantee is separate from and does not limit any statutory rights or legal guarantees that may apply to the Customer under applicable law.

8.3 Refund Procedure

To exercise the right of withdrawal, the Customer must notify ALTAXIS by means of an unambiguous written statement.

For requests made under the 14-Day Money-Back Guarantee, the Customer must clearly state that the request is being made under the commercial guarantee and provide sufficient information to identify the relevant order.

ALTAXIS will respond to the request within seven (7) business days.

Where the refund request is accepted, the refund will be issued using the same payment method as that used for the original order, unless otherwise agreed with the Customer or required by applicable law.

Article 9 – Legal Guarantees and Liability

ALTAXIS is bound by the legal guarantees applicable under European Union law and any mandatory national legislation.

ALTAXIS shall not be liable for indirect or consequential damages, including loss of profit, loss of opportunity, or loss of data, arising out of the use of the Products or Services.

In any event, ALTAXIS’ total liability shall be limited to the amount paid by the Customer for the relevant order, except where liability cannot be excluded or limited by law.

Article 10 – Customer Responsibility and Technical Limitations

The Customer is responsible for ensuring that they have the technical means and personal circumstances necessary to access and properly use the Products and Services.

ALTAXIS shall not be held liable for the Customer’s inability to properly follow or complete the courses, training, or other Services due to personal circumstances or technical issues beyond ALTAXIS’ reasonable control.

ALTAXIS shall not be held liable for any incompatibility between the Products or Services and the Customer’s equipment, operating systems, software, internet connection, or other technical environment, where such incompatibility is not attributable to ALTAXIS.

The Customer is responsible for maintaining suitable and compatible equipment, software, and internet access necessary to access the Services and digital Products.

Article 11 – Personal Data Protection

Personal data is processed in accordance with applicable data protection legislation, including Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR).

The purposes, legal bases, retention periods, and conditions of processing are described in the Privacy Policy available on the Website.

Customers have the right to access, rectify, erase, restrict, or object to the processing of their personal data, as well as the right to data portability, in accordance with applicable law.

Marketing communications may be sent to Customers who have provided their email address. Customers may unsubscribe at any time via the unsubscribe link included in each communication.

Article 12 – Intellectual Property

All content available on the Website, including but not limited to texts, graphics, logos, videos, training materials, and digital Products, is protected by intellectual property law and remains the exclusive property of ALTAXIS or its licensors.

Any reproduction, distribution, modification, or unauthorised use is strictly prohibited and may result in legal proceedings and/or any other remedies available to ALTAXIS under applicable law.

Article 13 – Force Majeure

ALTAXIS shall not be held liable for any failure or delay in the performance of its obligations where such failure or delay results from an event of force majeure beyond its reasonable control.

Force majeure events may include, without limitation, server or hosting failures, network or internet service interruptions, telecommunications failures, cyberattacks or other technical incidents affecting third-party infrastructure, natural disasters, fires, floods, severe weather events, epidemics or pandemics, strikes, governmental measures, acts of war, civil unrest, or any other event that could not reasonably have been foreseen or prevented by ALTAXIS.

Where such an event occurs, ALTAXIS’ obligations shall be suspended for the duration of the event to the extent that performance is prevented or materially hindered.

ALTAXIS shall use reasonable efforts to resume performance of its obligations as soon as reasonably practicable once the force majeure event has ceased.

Article 14 – Governing Law and Jurisdiction

These GTCS shall be governed by and construed in accordance with Irish law, without prejudice to mandatory consumer protection provisions applicable in the Customer’s country of residence.

In the absence of amicable resolution, any dispute arising in connection with these GTCS shall be submitted to the competent courts in accordance with applicable law.
